Loren file://C:\Documents and Settings\Lmorton\Local Settings\Temp\XPgrpwise\4C2B4566EQ... 6/30/2010 MEMORANDUM OF AXjREEMENT „ ' ' BETWEEN UTAH DIVISION OF RADIATION CONTROL AND DENISON MINES (USA) CORP.: (Reclamation Plan, Revision 4.0) I. General The Utah Division of Radiation Control (DRC) and Denison Mines (USA) Corp. (hereafter DUSA) hereby enter into this Memorandum of Agreement (MOA), 1) DUSA operates a uranium mill tailings facility near Blanding, Utah. 2) This MOA may be extended or modified to include other special projects if expressly agreed to in writing by both parties to this agreement at least 30 days prior to its expiration date. 3) This MOA is to allow the services of the URS Corporation to complete a technical review (for the DRC) of the "Reclamation Plan, White Mesa Mill Blanding Utah Radioactive Materials License No, UTI900479 Revision 4.0 November 2009" and Appendices A thru F (hereafter Reclamation Plan, Rev. 4.0), a report prepared by DUSA and submitted to the DRC on November 30,2009 in support of a February 28,2007 applicafion for renewal of Radioactive Materials License No. UTI 900479. 4) Total work effort for URS / DRC review of Reclamation Plan, Revision 4.0) will include the following URS activities; a) Review of the Reclamation Plan, Rev. 4.0; b) Preparation of interrogatories and review of all DUSA responses thereto; c) Preparation of a final technical / closeout memorandum, summarizing final findings and any recommendations for changes to or new conditions that may need to be considered by DRC during renewal of the DUSA Radioactive Materials License No. UTI 900479. II. Duration This MOA will become effective immediately upon signature by both parties. The DEQ fee schedule allows for reimbursement of actual costs of special projects. III. Agreement A. DRC agrees to: 1) Engage the services of URS Corporation to accomplish the total project under the current contract (State Contract No. 046317), according to the agreed upon schedule, in Table 1, below, including: a) Review ofthe Reclamation Plan, Rev. 4.0. Activities to be provided by URS will include technical review and consultation, design evaluation, and comment / interrogatory preparation. b) Preparation of interrogatories and review of all DUSA responses thereto; Page I of 3 Rev. 0 c) Preparation of a final technical / closeout memorandum, summarizing final findings and any recommendations for changes to or new conditions that may need to be considered by DRC during renewal of the DUSA Radioactive Materials License No. UTI 900479. B. DUSA agrees to: 1) Provide additional information in a timely and comprehensive manner to supplement the DUSA documents already provided, as required by DRC. 2) Provide DRC with timely payment of any invoice for URS Corporation consulting services related to completion of the total project, referenced above. C. Both Parties agree: 1) That DUSA may at any time exercise its right to request that the total project be revised so as to include: ' The URS review will NOT include consideration of any existing DUSA submittals related to the Infiltration and Contaminant Transport Model (ICTM) Reports dated November 21,2007 and March 31,2010, that were submitted for DRC review under mandate by the Ground Water Discharge Pennit, or consideration of compliance with Part I.D.8 of the Ground Water Discharge Permit. ^ These costs are based on the work element and schedule assumptions found in Table 1. This agreement may be amended, for any reason, after consent by both parties. Page 2 of 3 Rev. 0 a) URS review of the Montgomery Watson Harza (MWH) Infiltration and Contaminant Transport Model (ICTM) Reports '(dated November 21, 2007 and March 31, 2010), before completion of URS review of the Reclamation Plan, Rev. 4.0. Said ICTM Reports were submitted previously to the DRC under mandate of the Ground Water Discharge Permit, and b) 2) URS review of any revised DUSA tailings cell engineering cover system design and specifications that might be submitted to the DRC subsequent to DRC approval ofthe ICTM Reports. In the event that DUSA exercises it right to revise the total project under Article III.C. 1, above, that this MOA will be modified to provide a revised work effort, schedule, and funding amount that is acceptable to both parties.
