This ietter is in response to your letters dated October 5. 2009 and October 7, 2009 with enclosed
Settlement Agreements, relating to the above-captioned matters.
Enclosed please find two copies of each of the Settlement Agreements, signed on behalf of Denison
Mines (USA) Corp.
We will provide you with payment of the stipulated penalties within the next few days.

SETTLEMENT AGREEMENT

This SETTLEMENT AGREEMENT (hereinafter "AGREEMENT") is between DENISON MINES
(USA) CORP.lhereinafterOPERATOR") and the UTAH WATERQUALITY BOARD(hereinytter
the "BOARD"), concerning violations of the Uiah Waicr Quality An (the .Aci), Utah Code Annotated
(•'UCA ") §i^]9-5-]0I to -f24, and the Utah .AdminiMrativc Code ("[.'AC") R3I7-J to -560.
I. The BOARD has authority to administer the Utah WaterQuality Act, and the lUnh Administrative
Code. UCA §§19-5-106,-115.
2 The EXECUTIVE SECRETARY of the BOARD (hereinafter the EXECUTIVE
SECRETARY") will adniinisterthetenn.sandprovisions of tliis AGREEMENT. UCA §§19-5-106
and 115.
3. This AGREEMENT resolves the violation cited in the NOTICE OF VIOLATION and ORDER,
Docket Number UriW09-02 (hereinafter the "NOTICE") issued lo the OPERATOR on January 15,
2009, by the BOARD. It does not in any way relieve the OPERATOR from any olher obligation
imposed under the Act or any otiier Slate or Federal laws.
4. The parlies now desire lo resolve this matter fully without further administrative proceedings except
to the extent provided herein by entering into this AGREEMENT. Entering into this
AGREEMENT is not an admission of liability or factual allegation set out in the NOTICE, nor is it
an admission of or an agreement to any disputed facts or disputed legal theories, nor is it an
admission of any violation of any law, mle, regulation or pemiit by the OPERATOR.
5. In resolution of the violation in the NOTICE referenced in item 3, the OPERATOR agrees to pay a
total penalty amount of $3,599.91 within 30 calendar days of the effective dale of this
AGREEMENT by check. The check will be madepayable to the State of Ulah, delivered or inailed
to the Division of Radiation Controi, Department of Environmental Quality. 168 Nonh 1950 West,
P.O. Box 144850. Sah Lake City. Utah 84114^850. The penally has been determined using the
Penally Criteria for CivU Settlement Negotiations. Utah Administrative Code ("UAC") R3I7-I-8
which considers such factors as (he nature, severity and extent of the violations, histoiy of
noncompliance, degree of willfulness and/or negligence, good faith efforts to comply, and economic
benefit.
6. The deadline stipulated in item 5 above may be amended by prior written mutual agreement of the
parties. The parly requesting lhe amendment must write to the other party within 14 calendar days

before the documented deadline and request an amendment ofthe deadline. The other party will
either agree to or deny lhe amendment in writing wiihin 10 calendar days of receipt ofthe request.
7. Nodiing contained in this AGREEMENT shall preclude the BOARD from taking additional actions to
include additional penallies against the OPERATOR for pennit violations not resolved by ihis
AGREEMENT
8. If an agieementbetw'een the OPERATOR andtheEXECUTlVESECRETARY cannot be reached in
a dispute arising under any provision of this AGREEMENT, then the OPERATOR or the
EXECUTIVE SECRETARY may commence a proceeding wilh the BOARD under the Utah
Administrative Procedures Ac i. Utah Code Annotated §^63G-4-lO! io -601 to resolve the dispute. A
final decision in any adjudicative proceeding shall be subject to judicial review under applicable slate
law.
9. Nothing in this AGREEMENT shall constitute a waiver by (he OPERATOR to raise in defense any
legal or factual contention for future allegations of noncompliance.
10. Nothing in this AGREEMENT shall constitute or be considered as a release from any claims, to include
natural resource damage claims, cause of action, or demand in law or equity which the STATE may
have against the OPERATOR, or any other person, firm, partnership or corporation for any liability
arising out of or relating in any way lo the release of pollutanls to waters ofthe State.

This SETTLEMENT AGREEMENT (hereinafter "AGREEMENT") is between DENISON MINES
(USA) CORP. (hereinafter OPERATOR ) and the UTAH VVATER QUALITY BOARD (hereinafter

Mines (USA) Corp. (hereinafter "DUSA") and the UTAH WATER QUALITY BOARD

4. The parties now desire to resolve this matter fully without further administrafive
proceedings except to lhe extent provided herein by entering into this AGREEMENT.
Entering into this AGREEMENT is not an admission of liability or factual allegafion set
out in the NOTICE, nor is it an admission of or an agreement to any disputed facts or
disputed legal theories, noris it an admissionof any violafion of any law,rule,regulafionor
permit by DUSA.
5. The Execufive Secretary will not to seek a monelaiy penalty for Violafion Nos. 2 and 3 of
the NOTICE because this is the first time DUSA has been cited for these lypes of
violations.
6. In resolution of Violafion No. 1 of the NOTICE referenced herein in paragraph 3. DUSA
agrees to the settlement terms stated below:

a. In resolution of Violafion No. 1 of the NOTICE referenced in Paragraph 3 bf this
AGREEMENT, DUSA agrees to pay a lotal penally amount of $4,815.00. by check
within 30 calendar days of the effective date of this AGREEMENT. The check
will be made payable to the State of Ulah, delivered or mailed to the Division of
Radiation Control, Department of Environmental Quality, 168 North 1950 West,
P.O. Box 144850, Salt Lake City. Utah 84114-4850. The penalty has been
determined using the Penalty Criteria for Civil Settletuent NegntiatiotLs, Utah
Administrative Code ("UAC") R317-1-8 which considers such factors as the nature,
severity and extent of the violations, history of noncompliance, degree of willfulness
and/or negligence, good faith efforts to comply, and economic benefil.

acfions to include additional penaUies against DUSA for pennit violations not resolved by this
AGREEMENT.
8. If an agreement between DUSA and the EXECUTIVE SECRETARY cannot be reached in a
dispute arising under any provision of this AGREEMENT, then DUSA or the EXECUTTVE
SECRETARY may commence a proceeding with Ihe BOARD under the Utah Administrative
Procedures Act, Utah Code Annotated §§ 63G-4-W1 to -601 to resolve the dispute. A final
decision in any adjudicative proceeding shall be subject to judicial review under applicable
state law.

legal or factual contenfion for future allegations of noncompliance.
10. Nothing in this AGREEMENT shall constitute or be considered as a release from any claims,
