Stipulated Consent Agreement Dear Mr. Finerfrock: Reference is made to the Stipulated Consent Agreement, dated August, 2008, between Denison Mines (USA) Corp. ("DUSA") and the Utah Water Quality Board (the "Agreement"), relating to the nitrate contamination investigation and corrective action plan at the White Mesa Mill. As discussed with members of Division of Radiation Control staff on Monday August, 31, 2009, DUSA has drilled 10 nitrate monitoring wells to date, and performed some sampling of those wells, without giving notice to the Executive Secretary under item 6B of the Agreement. This failure to give notice was due to an oversite on DUSA's part. Specifically, DUSA drilled and completed the following wells at the following times: • TWN-1, TWN-2, TWN-3 and TWN-4 during the period Febmary 3 to Febmary 5, 2009; and • TWN-5, TWN-6, TWN-7, TWN-8, TWN-9 and TWN-10 during the period August 17 to August 20, 2009. DUSA has performed the following sampling on those wells for nitrate: • TWN-1, TWN-2, TWN-3 and TWN-4 were sampled for nitrate on Febmary 6, 2009 and again on July 21, 2009; • TWN-5, TWN-6, TWN-7, TWN-8, TWN-9 and TWN-10 were sampled for nitrate on August 27, 2009. DUSA also sampled for chloride in all of the foregoing wells at the same times the nitrate samples were collected. DUSA has not peiformed any aquifer permeability testing on any ofthe nitrate wells to date. DUSA is currently reviewing the results for the August 27 samples for the six wells that were installed in August to determine if any further nitrate monitoring wells need to be installed. DUSA plans to sample all of the nitrate investigation wells again in September and once during the fourth quarter of 2009. DUSA will provide the 10-day notice to the Executive Secretary as required under item 6B ofthe Agreement prior to: • Any further sampling, including the planned sampling events for September and the fourth quarter of 2009; • The drilling and completion of any additional nitrate investigation wells; and • All aquifer permeability testing on the nitrate investigation wells. We are sorry for this oversite. Denison personnel have been focusing on completing the nitrate investigation within the time frames stipulated in the Agreement and have had their sites aimed at the end product, the Contaminant Investigation Report. Unfortunately, DUSA overlooked the 10-day notice requirement. This will not happen again. Please let me know if you have any questions or we can provide any further information to you.
