SUBJECT: Divestiture, Air Force Plant (AFP) 78, Brigham City UT
1. This letter is to inform you that Thiokol Corporation has accepted the terms and conditions
for the sale of Air Force Plant (AFP) 78 located at Brigham City, Utah. Pending Congressional
concurrence of this transaction, we expect to transfer the property title to Thiokol in the
November 1995 time frame.
2. A separate Environmental Matters Agreement (EMA) has been negotiated by the Air Force
and Thiokol Corporation. Based on the terms of this agreement, Thiokol has acknowledged
environmental compliance and cleanup responsibilities under CERCLA, RCRA, and other
laws/regulations. The Air Force recognizes its responsibilities as plant owner under CERCLA
and will continue to be responsible as prior owner after title transfer, subject to the EMA. We
will provide the EMA to you after it has been signed by all parties.
